These Terms of Service (“Agreement”) govern the use of the website, services, software, marketing campaigns, communications, and related services provided by Marketing Boost, Inc. (“Marketing Boost,” “Company,” “we,” “our,” or “us”). By accessing our website, purchasing services, submitting payment, signing a proposal, or using our services, you (“Client,” “you,” or “your”) agree to these Terms of Service. This master agreement combines the provisions contained in the uploaded agreements and templates.

1. Services

Marketing Boost provides digital marketing and related services including, but not limited to:

  • Website Design & Development
  • Search Engine Optimization (SEO)
  • Google Ads / PPC Management
  • Facebook & Instagram Advertising
  • Social Media Management
  • Email Marketing
  • Call Tracking
  • Landing Pages
  • Graphic Design
  • Branding
  • Reputation Management
  • Consulting & Strategy
  • Hosting & Website Maintenance

Only services specifically listed in an approved proposal, invoice, or scope of work are included.

2. Acceptance of Terms

This Agreement becomes binding when the Client:

  • Accepts a proposal,
  • Makes payment,
  • Signs an agreement, or
  • Uses our website or services.

Continued use of our services constitutes acceptance of these Terms.

3. Payment Terms

  • Payments are due upon receipt unless otherwise stated in writing.
  • Recurring services are billed monthly or annually in advance.
  • Late payments may result in paused campaigns, suspended services, delayed deliverables, or restricted access.
  • Additional work outside the agreed scope may incur additional fees.
  • Marketing Boost reserves the right to modify pricing with at least thirty (30) days’ notice.

4. Refunds

Refund requests may only be submitted within forty-eight (48) hours of payment. After this period, work on the Service is considered to have begun and all payments become non-refundable. All refund requests must be submitted via email.

5. Automatic Renewals

Recurring services may automatically renew unless canceled with at least thirty (30) days’ written notice.

The Client authorizes recurring charges to the payment method on file for ongoing services.

6. Client Responsibilities

The Client agrees to provide timely:

  • Access credentials
  • Approvals
  • Feedback
  • Content
  • Business information
  • Branding assets
  • Ad account permissions

Delays caused by missing information, approvals, or communication may impact project timelines and results.

7. Website Content Responsibility

The Client is responsible for ensuring all provided content, materials, logos, trademarks, images, videos, and text are owned or properly licensed.

Marketing Boost is not liable for any copyright, trademark, privacy, or intellectual property claims related to Client-provided materials.

The Client agrees to indemnify and hold harmless Marketing Boost against any claims arising from the use of such materials.

8. Ownership of Deliverables

Upon full payment:

The Client owns final approved deliverables specifically created for the Client, including:

  • Finished website files
  • Approved graphics
  • Final written content
  • Completed design assets

Marketing Boost retains ownership of:

  • Internal systems
  • Frameworks
  • Templates
  • Proprietary methodologies
  • Internal processes
  • Pricing systems
  • Campaign structures
  • Reusable tools and strategies

Marketing services, advertising strategies, PPC systems, ad account configurations, and optimization methodologies remain proprietary intellectual property of Marketing Boost.

9. PPC & Advertising Services

Marketing Boost may create, optimize, pause, restructure, or modify advertising campaigns based on performance data and market conditions.

The Client acknowledges that:

  • Cost per lead fluctuates,
  • Results vary by industry and competition,
  • Advertising performance cannot be guaranteed.

The Client is responsible for:

  • Ad spend,
  • Third-party platform fees,
  • Advertising balances,
  • External software costs.

Campaign reporting may be provided through dashboards or monitored review sessions.

10. SEO Disclaimer

Search engine rankings, traffic, and indexing decisions are controlled by third-party search engines.

Marketing Boost does not guarantee:

  • Rankings,
  • Traffic increases,
  • Lead volume,
  • Revenue,
  • Indexing timelines,
  • Conversion rates.

SEO performance depends on numerous factors outside our control, including:

  • Competition,
  • Algorithm changes,
  • Market conditions,
  • Website history,
  • User behavior.

11. Social Media Marketing

Social media services are intended primarily for:

  • Brand awareness,
  • Engagement,
  • Audience growth,
  • Content distribution.

Inbound leads and sales are not guaranteed.

Clients requesting lead generation should inquire about paid advertising services.

12. Website Hosting & Maintenance

Web hosting is required for websites to remain publicly accessible.

Hosting services may include:

  • Server management
  • Security updates
  • Basic maintenance
  • Limited monthly content edits

Unless otherwise stated, hosting does not include:

  • Custom development
  • New functionality
  • Graphic design
  • Major structural changes

If hosting services terminate, the Client has thirty (30) days to migrate the website before removal from our servers.

13. Domain Registration

If Marketing Boost assists with domain registration or transfers, we act solely as a technical intermediary.

The Client remains the legal owner of the domain.

Failure to renew a domain may result in permanent loss of ownership.

Marketing Boost is not responsible for expired or lost domains.

14. Email Hosting

Website hosting does not include email hosting unless otherwise stated.

Clients may:

  • Use their own IT provider, or
  • Use a third-party provider recommended by Marketing Boost.

15. Call Tracking & Recording

Marketing Boost may use:

  • Call tracking numbers,
  • Dynamic Number Insertion (DNI),
  • Call recording software,
  • Analytics systems.

Calls may be recorded for:

  • Quality assurance,
  • Campaign optimization,
  • Training purposes.

Clients acknowledge that declining call tracking may reduce optimization effectiveness.

Upon full payment of all outstanding balances, Clients may request transfer of tracking numbers where technically feasible.

16. SMS Messaging Terms & Compliance

Marketing Boost may send SMS communications related to:

  • Appointment reminders
  • Customer support
  • Scheduling
  • Service notifications
  • Marketing messages (where separately authorized)

Opt-Out Instructions

You may opt out at any time by replying:

After opting out, you will receive a confirmation message and no further SMS communications unless you re-subscribe.

17. Confidentiality

Both parties agree to maintain the confidentiality of non-public business, financial, operational, technical, and marketing information.

Confidential information shall not be disclosed to third parties except as necessary to perform services or comply with legal obligations.

18. Employee Non-Solicitation

During the Agreement and for twelve (12) months after termination:

Neither party shall knowingly solicit or recruit employees or contractors of the other party without prior written consent.

19. Disclaimer of Warranties

Services are provided “as is” and “as available.”

Marketing Boost makes no warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Guaranteed performance
  • Guaranteed results

We do not guarantee:

  • Revenue increases
  • Lead volume
  • Conversion rates
  • Search rankings
  • Advertising costs
  • Business growth

20. Limitation of Liability

Marketing Boost shall not be liable for:

  • Lost profits,
  • Lost revenue,
  • Lost data,
  • Business interruption,
  • Indirect damages,
  • Consequential damages,
  • Advertising platform issues,
  • Third-party outages,
  • Algorithm changes,
  • Hosting failures,
  • Software conflicts.

Our total liability for any claim shall not exceed the amount paid to Marketing Boost during the thirty (30) days preceding the claim.

21. Indemnification

The Client agrees to indemnify and hold harmless Marketing Boost, its owners, employees, contractors, and affiliates against any claims, damages, legal expenses, or liabilities arising from:

  • Client-provided content,
  • Client business practices,
  • Advertising claims,
  • Legal violations,
  • Intellectual property disputes,
  • Misuse of deliverables,
  • Violation of these Terms.

22. Third-Party Platforms

Marketing Boost is not responsible for failures, outages, suspensions, restrictions, or policy changes involving third-party platforms including:

  • Google
  • Meta
  • Instagram
  • Facebook
  • WordPress
  • Hosting companies
  • Payment processors
  • Email systems
  • Software vendors

23. ADA, GDPR & CCPA Compliance

ADA, GDPR, and CCPA compliance are not included unless specifically stated in writing.

Compliance solutions may require third-party services such as:

  • Termly
  • UserWay
  • AccessiBe

Additional fees may apply.

24. Termination

Either party may terminate services with thirty (30) days’ written notice unless otherwise stated.

The Client remains responsible for:

  • Outstanding invoices,
  • Completed work,
  • Advertising spend,
  • Third-party costs already incurred.

25. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Pandemics
  • Internet outages
  • Government actions
  • Wars
  • Labor disputes
  • Power failures
  • Third-party outages

26. Governing Law

These Terms shall be governed by the laws of the State of Florida.

Any disputes shall first attempt good-faith resolution before legal action.

Any litigation shall occur exclusively in Palm Beach County, Florida.

Both parties waive the right to a jury trial.

27. Website Use & Intellectual Property

All website materials, content, designs, graphics, logos, code, and intellectual property are owned by Marketing Boost or its licensors and are protected by applicable intellectual property laws.

Users may not reproduce, distribute, modify, sell, or exploit website materials without written permission.

28. Changes to Terms

Marketing Boost reserves the right to update or modify these Terms at any time.

Updated versions will be posted on our website with the revised effective date.

Continued use of services constitutes acceptance of updated Terms.
